Investment in other companies 6 March, 2019

Grupo Nutresa S.A. has signed an agreement to acquire control of Atlantic FS S.A. S. (“AFS”), a Colombian distribution company in the food service channel.

Once the procedures before the corresponding authorities are completed and the conditions to close the transaction are fulfilled, Grupo Nutresa would be the owner of 51% of the shares of AFS. The amount of the transaction would be COP$ 42,000 million, approximately. This amount will be adjusted on the closing date of the transaction based on the working capital and the financial debt of AFS.
